DRIVING COMMUNITY FORWARD SPONSORSHIP TERMS & CONDITIONS
This Sponsorship Agreement (“Agreement”) is entered into by and between Crosstown Runz Inc., an Ohio-based delivery service company (“Crosstown Runzzz,” “we,” “us,” “our” or “Company/Program”), and the participating sponsor (“Sponsor,” “you,” or “your”) upon confirmation of your sponsorship contribution. This Agreement outlines the terms, conditions, and expectations applicable to your involvement in the Driving Community Forward community sponsorship program.
- Agreement Acceptance
By submitting a sponsorship contribution and/or completing enrollment in the Driving Community Forward program, Sponsor acknowledges and agrees to be legally bound by the terms outlined in this Agreement. This acceptance is binding regardless of the tier selected or the method of payment.
- Sponsorship Scope & Use of Funds
All contributions made under this Agreement shall be combined with various contributions and funds from Crosstown Runzzz Inc. and its parent company, KayCorp Inc., and allocated to the Driving Community Forward program at the sole discretion of Crosstown Runz Inc. Sponsor acknowledges and agrees that their contribution is not designated for any one recipient, location, or expense, but instead supports the program’s overall mission to provide essential delivery services to eligible residents within Medina County.
Eligibility for service is determined solely by Crosstown Runzzz Inc. and may include, but is not limited to, seniors, persons with disabilities, individuals with mobility limitations, and other vulnerable populations. Updated eligibility guidelines are available upon request or via our official website.
Program-related expenditures may include, without limitation:
- Driver compensation, contractor labor, and route coordination
- Marketing, branding, and public outreach
- Packaging materials, insulated bags, and delivery equipment
- Scheduling software, website infrastructure, and dispatch tools
- Administrative costs necessary for program execution and compliance
Crosstown Runzzz Inc. reserves the exclusive right to allocate all sponsor funds, including the timing, amount, and categorization of expenditures, at its sole and absolute discretion. Sponsor shall have no claim, input, or audit rights regarding how or when funds are utilized.

This provision shall survive the termination or expiration of this Agreement.
- Sponsorship Term & Payment
Sponsorship participation is available as either a recurring monthly contribution or an annual one-time contribution, based on the tier selected. All payments must be submitted through authorized autopay via credit/debit card or ACH bank transfer through your subscription “My Account”.
3.1 Payment Method & Autopay Authorization
By enrolling in the Driving Community Forward sponsorship program, Sponsor authorizes Crosstown Runzzz Inc. to charge the selected payment method on an automated, recurring basis consistent with the selected billing cycle with the payment method on file.
- Monthly sponsors will be charged on the same calendar day each month.
- Annual sponsors will be charged once at the time of signup and the same day each year until canceled.
Sponsors are responsible for maintaining valid and up-to-date payment information. Crosstown Runzzz Inc. is not liable for delays, failed recognitions, or missed benefits due to declined transactions.
No paper invoices will be issued unless requested via email. No checks or cash will be accepted.
3.2 Cancellations & Refunds
Sponsors may cancel their participation at any time prior to the next billing cycle, by canceling via “My Account” in advance of the next scheduled autopay. Should you have any issues, please call customer service at 330-304-9088.
- No refunds will be issued for processed payments under any circumstances, including mid-cycle cancellations or unused benefits.
- Annual sponsorships are non-refundable upon processing.
- Cancellation within 5 days of upcoming cycle may be billed without refund due to automated processing. To avoid this please cancel at least 10 days before the next cycle.
3.3 Activation of Benefits
No sponsor materials, listings, or recognitions will be published or distributed until payment is successfully received and processed. This can take up to 5 days. You will receive access to your downloadable welcome packet with your sponsorship approval. Sponsorship status begins on the date of successful payment, not on the date of form submission (i.e. approval email).
- Sponsorship Benefits & Recognition
Sponsorship benefits are tier-based and outlined in the official Driving Community Forward sponsorship overview sheet. By participating, Sponsor acknowledges and agrees that benefits are subject to change at the discretion of Crosstown Runzzz Inc.
We reserve the right to add, modify, delay, or revoke benefits at any time, with or without prior notice, by updating our online sponsorship materials. The most current benefits will always be available on our website at www.CrosstownRunzzz.com/drivingcommunityforward and are considered the controlling version.
Recognition benefits may include, but are not limited to:
- Name and/or logo placement on marketing materials, website, promotional flyers, and/or event signage
- Inclusion in social media posts, shoutouts, or media mentions
- Receipt of a digital or printed participation certificate and/or impact report
4.1 Sponsor Materials
Sponsors are responsible for providing their preferred listing name and a high-resolution logo in an approved format (e.g., PNG, JPG, EPS). Failure to provide such materials in a timely manner may result in:
- Delayed inclusion in marketing deliverables
- Creation and use of a placeholder image at Crosstown Runzzz’s discretion
- Omission from materials that require pre-print deadlines
Crosstown Runzzz Inc. reserves the right to adapt or substitute sponsor materials, logos, or formatting as needed to meet technical, space, or layout requirements.
4.2 Limitation of Recognition
Recognition is offered as a benefit of sponsorship and does not confer any endorsement, ownership, or agency relationship between the Sponsor and Crosstown Runzzz Inc. Any unauthorized use of Crosstown Runzzz’s logo or program name is strictly prohibited. Only reputable businesses and groups will be accepted into our sponsorship program.
4.3 Reciprocity
Crosstown Runzzz Inc. and its parent company agree to be bound by the advertising agreements herein with respect to our commitment to sponsor recognition and program promotion. Sponsors are expected to advertise affiliation with the program in accordance with their welcome packet materials (with the exception of individual community supporters). Individual resident contributions will be recognized via social media, website recognition page, email, and the Welcome Packet and are free to use provided materials to display their commitment to the community.
4.4 Anonymity Requests
If the Sponsor prefers to remain anonymous or decline public recognition, this request must be submitted in writing via email to Info@crosstownrunzzz.com. Recognition will be withheld accordingly, without effect on sponsorship tier benefits or deliverables.
- Eligibility for Participation
Participation in the Driving Community Forward program is granted at the sole discretion of Crosstown Runzzz Inc., and may be refused, suspended, or revoked at any time, with or without notice, for any reason we deem necessary to protect the integrity of our mission and values.
Crosstown Runzzz Inc. is a LGBTQ+ woman-owned inclusive organization. We are proud of our commitment to equity, access, and community justice—and we will not partner with individuals, businesses, or entities that fail to align with these principles.
Sponsors may be denied or removed for any conduct, affiliation, or public action that conflicts with our values, including but not limited to:
- Hate speech, discrimination, or harassment in any form
- Fraud, illegal activity, or deceptive marketing or practices
- Public defamation or disparagement of Crosstown Runzzz, KayCorp Inc., or affiliated partners
- Misalignment with the core values, ethics, or community standards upheld by Crosstown Runzzz Inc.
- Violation of our Diversity, Equity & Inclusion Policy or participation in efforts that undermine those principles
❗ In the event of removal, no refund shall be issued, and all recognition or sponsor materials will be immediately revoked.
We believe ACTIONS speak louder than words. Should your EXTREME values, policies or actions not align with our core principles of Humanitarianism (People BEFORE Profit) you may additionally be placed on our “Part Of The Problem” list. This is reserved for extreme cases of community neglect and abuse.
Crosstown Runzzz Inc. retains full and final authority to determine eligibility, appropriateness, and continued participation in the sponsorship program. This clause is non-negotiable and not subject to appeal.
- Legal Disclaimer & Tax Status
Crosstown Runzzz Inc. is a privately held, for-profit C-Corporation, and the Driving Community Forward program is operated as a branded community outreach initiative under its authority. Sponsorships made through this program are not tax-deductible as charitable donations under IRS 501(c)(3) guidelines.
Sponsors are solely responsible for consulting their own legal, tax, or financial professionals to determine the nature and classification of any sponsorship expense, including—but not limited to—whether it qualifies as a marketing or advertising expense under IRS Publication 535 or other applicable regulation. No representation, warranty, or guarantee is made by Crosstown Runzzz Inc. or its affiliates regarding the tax treatment or legal classification of any contribution made under this Agreement.
This Agreement does not create any joint venture, partnership, fiduciary duty, employment, or agency relationship between the Sponsor and Crosstown Runzzz Inc., its parent company (KayCorp Inc.), its staff, representatives, or affiliates. Sponsors shall not claim or imply such a relationship exists without express written permission from Crosstown Runzzz Inc.
- Intellectual Property & Use of Logo
By entering into this Agreement, Sponsor grants Crosstown Runzzz Inc. and its parent company KayCorp Inc. a limited, non-exclusive, royalty-free, and revocable license to use Sponsor’s name, logo, and any submitted brand materials solely for the purposes of fulfilling recognition obligations related to the Driving Community Forward program.
This license:
- Applies only for the duration of the active sponsorship term
- May include use on printed materials, social media, digital platforms, websites, promotional displays, or event signage
- Is strictly limited to program-related recognition and shall not extend beyond the scope of this Agreement without the Sponsor’s prior written consent
Crosstown Runzzz Inc. will make reasonable efforts to ensure logos are used in good faith, without alteration or distortion. However, we reserve the right to resize, reformat, or adapt materials for layout or compatibility purposes.
7.1 Sponsor Use of Program Branding
Sponsor agrees to use only official promotional media provided directly by Crosstown Runzzz Inc. for any sponsorship-related announcements, advertisements, or public statements. This includes:
- Logos, taglines, social graphics, and downloadable print materials supplied in the Welcome Packet
- Guidelines included with said materials regarding placement, formatting, and permitted messaging
⚠️ Sponsor shall not alter, rebrand, remix, or reinterpret Crosstown Runzzz or Driving Community Forward logos or materials in any form without receiving express written permission.
Sponsor-created advertisements or posts referencing sponsorship must use the provided assets without modification, or submit a draft of custom materials for prior written approval.
Crosstown Runzzz Inc. reserves the right to revoke logo use permissions at any time and require removal of any unauthorized or misleading materials.
- Indemnification
To the fullest extent permitted by law, Sponsor agrees to indemnify, defend, and hold harmless Crosstown Runzzz Inc., KayCorp Inc., the Driving Community Forward program, and all of their respective officers, directors, employees, agents, contractors, partners, affiliates, successors, and assigns (collectively, the “Indemnified Parties”) from and against any and all claims, demands, causes of action, liabilities, losses, damages, penalties, fines, judgments, settlements, costs, and expenses (including reasonable attorneys’ fees and court costs) arising out of or related to:
- Sponsor’s participation in, promotion of, or affiliation with the Driving Community Forward program
- Any act, omission, negligence, or willful misconduct by the Sponsor or its representatives, employees, contractors, or affiliates
- Sponsor’s products, services, marketing, or public representations made in conjunction with the program
- Any breach or alleged breach of this Agreement by the Sponsor
- Any use, publication, or reproduction of the Sponsor’s name, logo, materials, or likeness as permitted under this Agreement
- Any violation of applicable laws, regulations, or industry standards by the Sponsor or its affiliated parties
- Any alleged or actual wrongdoing, liability, or harm caused in connection with the program—even if resulting from an error, misstatement, omission, or negligence on the part of the Indemnified Parties
This indemnification shall apply regardless of fault, including situations where Crosstown Runzzz Inc., its affiliates, or representatives are alleged to have contributed to or failed to prevent harm.
This obligation shall survive the termination or expiration of this Agreement. Crosstown Runzzz Inc. reserves the sole right to select legal representation, approve settlements, and control the defense of any matter subject to this clause.
- Modification & Entire Agreement
Crosstown Runzzz Inc. reserves the right to amend, revise, or update this Agreement and its terms at any time, with or without prior notice. Any such modifications shall be effective immediately upon publication to our official website or distribution via email or physical mail.
Sponsor’s continued participation in the program constitutes full acceptance of any and all modified terms and conditions, regardless of whether explicit acknowledgment is provided.
This Agreement represents the entire understanding between the parties with respect to the Driving Community Forward sponsorship program and supersedes all prior discussions, proposals, representations, and agreements, whether oral or written.
- Governing Law & Dispute Resolution
By participating in this sponsorship program, you acknowledge and agree to be legally bound by the terms set forth in this Agreement. If you disagree with any portion of these terms, you may submit a written objection to:

This Agreement shall be governed by, and construed in accordance with, the laws of the State of Ohio, without regard to conflict of law principles. Both parties agree to the following conditions for dispute resolution:
- Any disputes, disagreements, or claims shall first be addressed through good faith civil communication with the intent to resolve matters privately and professionally.
- Neither party shall make negative or defamatory public statements, including online or media content, while a dispute is active or unresolved.
- If necessary, legal resolution shall take place exclusively in the courts of Medina County, Ohio, and each party consents to the jurisdiction of said courts.
